Stephen Peepels heads Hogan Lovells' U.S. Securities practice in Asia-Pacific, based in our Hong Kong office. Widely recognized as one of the region's most experienced corporate finance attorneys, Stephen advises on a variety of cross border transactions, including international securities offerings and pre-IPO financings, as well as going private transactions. With a focus across Asia-Pacific, Stephen has assisted companies and financial advisors in Australia, India, Southeast Asia and Greater China as they seek to raise capital. Stephen led the first Rule 144A high yield debt offering from India, and has also advised on several multi-billion dollar IPOs on the Hong Kong Stock Exchange. In the private M&A space, he helped Larsen & Toubro to buy a significant division from Dell Computer. He also regularly represents companies in developing and implementing corporate governance and compliance programs.
Stephen began his legal career at the U.S. Securities and Exchange Commission’s Division of Corporation Finance, where he was responsible for identifying issues in public companies’ Securities Act and Exchange Act registration statements and other SEC filings. After the SEC, he began private practice as a securities attorney in New York. He also worked in London, San Francisco and Singapore before relocating to Hong Kong. In addition to his focus on Hong Kong IPOs, he has worked on more than 20 convertible bond offerings, and equity offerings on the NYSE, Nasdaq and various Asian stock exchanges. He is also a recognized market leader in India, having advised on India's largest ever IPO, the US$3.4 billion offering by Coal India Limited, among his more than 30 Indian equity offerings.
Stephen is recognised as a leading lawyer in Capital Markets by virtually all legal directories, including Chambers Asia for Greater China, and was named as a leading individual in India Capital Markets.
Stephen is a Member of the Pennsylvania Bar and a Foreign Legal Consultant at the Hong Kong Law Society.
